What is the Director Identification Number:
DIN may be a unique Director identification number assigned by the Central Government to any individual who intends to become a Director, is already a Director, or will become a Director of a corporation in the future. it’s a unique eight-digit identification number with lifelong validity. an individual who intends to become a director of any existing company must submit an application for a Director Identification Number. He must first apply for a Digital Signature Certificate and then a DIN number before he can be appointed as Director of a company.
Why DIN is required for a Director:
The concept of a Director number (DIN) was introduced in India for the first time with the inclusion of Sections 266A to 266G of the Companies Amendment Act, 2006. it had been implemented to create authentic director data and to track down directors who had disappeared. It not only assists in determining the individual’s identity but also correlates his participation altogether with other businesses.
Before becoming a director of the corporate, he or she must apply for a Director number and update it whenever personal information changes. The KYC form must be filed annually; otherwise, a penalty of Rs. 5,000 are going to be imposed. A Director number is only issued to individuals.
Law Governing the DIN:
eForm DIR-3 must be filed in accordance with Section 153 of the businesses Act, 2014, Rule 9(1) of the businesses (Appointment and Qualification Of Directors) Rules, 2014, and Rule 10 of the indebtedness Partnership Rules,2009, which are reproduced below for your convenience.
- Section 153: stipulates that a person who intends to be appointed as a director of a company must apply to the Central Government for a Director Identification Number using the prescribed application form and fees.
- Rule 9(1) of the 2014 Companies (Appointment and Qualification of Directors) Rules and Rule 10 of the 2009 indebtedness Partnership Rules: Every applicant who intends to be appointed as a director of an existing company must submit an application for a Director Identification Number (DIN) to the central government using Form DIR-3, together with the fees specified in the Companies (Registration offices and Fees) Rules, 2014. within the event that a proposed director does not have an approved DIN, the particulars of up to 3 proposed directors must be listed on Form No. INC-32 (spice), and DINs could also be assigned to up to three proposed directors using Form INC-32 (spice).
“Every individual who intends to be appointed as a delegated partner of an existing limited liability partnership shall make an application electronically in Form DIR-3 under the Companies (Appointment and Qualifications of Directors) Rules, 2014 for obtaining DPIN under the indebtedness Partnership Act, 2008, and such DIN shall suffice for appointment as a delegated partner under the Limited Liability Partnership Act, 2008.”
