Law Governing Shifting of Registered Office of the Company:
Section 12(4) of the Companies Act, 2013Â and rule 27 of the Companies (Incorporation) Rules, 2014 outline the procedure for shifting the registered office of a corporation:
- Section, 12 (4) of the Companies Act: Any change to the registered office must be reported to the Registrar within fifteen days according to Section 12(4) of the Companies Act and it must be verified in the manner specified after the company's incorporation date.
- 2014 Companies (Incorporation) Rules, Rule 27: The notice of change of registered office and verification thereof shall be filed in Form No. INC-22, along with the fee, shall be accompanied by the same documents and manner of verification as are prescribed for the verification of the Registered office on incorporation in terms of sub-section (2) of section 12.
Documents Required for Relocation of the Company’s Registered Office:
The following documents are required for the relocation of a company’s registered office:
- The registered document of the title to the registered office premises in the company’s name; or
- The notarized copy of the lease or rental agreement in the company’s name, along with a receipt for rent paid within the past month.
- The permission from the owner or authorized occupant of the premises, along with evidence of occupancy authorization or ownership to use the premises as the registered office of the company. and
- A document that is less than two months old or the proof of service for any utility, such as electricity, gas, or telephone, stating the address of the property in the name of the owner.
- The Memorandum of association was modified. This must be attached if the registered office moves from one state to another within the jurisdiction of the same RoC or from one state outside the jurisdiction of the current RoC.
- Certified copy of competent authority’s order In the event of a change of registered office from one RoC to another within the same state or from one state to another within the jurisdiction of the same RoC, or from one state to another outside the jurisdiction of the existing RoC, it is required to attach the appropriate documentation.
- If any, a list of all companies (including their CINs) with the same registered office address.
