DIN KYC:

Each DIN (Director Identification Number) holder is required to renew his DIN KYC annually with the MCA. The requirement applies to both active and inactive DIN holders. Form DIN-3 KYC must be filed the first time it is filed, and subsequent years, if no changes are required, can be filed using the MCA web service. Failure to provide KYC for a DIN will result in penalties. This DIN KYC was implemented by the MCA during the 2018-19 fiscal year, and its purpose is to facilitate effective communication with DIN holders.

Law Governing the DIN KYC:

The DIN KYC is governed by Rule 12A of The Companies (Appointment and Qualification of Directors) Rules, 2014.

Every individual who has been assigned a Director Identification Number (DIN) as of March 31 of a fiscal year in accordance with these rules must submit the e-form DIR-3-KYC to the Central Government by April 30 of the following fiscal year.

Each individual who has been issued a Director Identification Number (DIN) as of March 31, 2018, must submit form DIR-3 KYC by September 15, 2018.

Rule 11(2) of The Companies (Appointment and Qualification of Directors) Rules, 2014:

The Director Identification Number (DIN) of a person who fails to submit his information in the e-form DIR-3-KYC within the time frame required by rule 12A shall be deactivated by the Central Government or Regional Director (Northern Region), or by any officer authorised by the Central Government or Regional Director (Northern Region).

The deactivated DIN shall be reactivated only upon submission of e-form DIR-3-KYC along with the prescribed fee as per the Companies (Registration Offices and Fees) Rules, 2014.

DIN KYC is simply the annual update of a DIN holder’s contact information to MCA.

This is required of both active and inactive DIN holders for the initial filing.

The DIN holder who has already submitted DIN KYC in the previous year and does not need to make any changes must submit this DIN KYC online.
